Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Story Tailors, LLC, a New Jersey limited liability company doing business as “EasyPrompter” (“we,” “us,” or “our”), governing your access to and use of the EasyPrompter platform available at easyprompter.com (the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of an organization — including a government agency, corporation, educational institution, or other entity — you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to that organization.

For Partner Program participants: By participating in the EasyPrompter Partner Program, you also agree to our Partner Terms & Conditions.

2. Eligibility

• You must be at least 13 years old to create an individual account on the Service.
• Users between 13 and 18 years of age should use the Service under the supervision of a parent or guardian.
• Users under 18 may access the Service through an organizational account (such as a school or team workspace) managed by a parent, guardian, or educational institution. The supervising adult or institution assumes responsibility for the minor’s use of the Service.
• You represent that all information you provide during registration is accurate, current, and complete, and you agree to keep it updated.

3. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password or passkey for your account.
• Enable multi-factor authentication where available.
• Notify us immediately at support@easyprompter.com if you suspect unauthorized access to your account.
• Not share your account credentials with others.

We reserve the right to suspend or disable accounts that we reasonably believe have been compromised, are being used in violation of these Terms, or pose a security risk.

4. Service Plans & Subscriptions

4.1 Plans

The Service is offered under multiple subscription tiers: Free, Creator, Operator, Studio, and Enterprise. Each plan has different features, limits, and pricing as described on our Pricing page. We also offer a one-time Event Pass for short-term access.

4.2 Free Trials

Creator, Operator, and Studio may include no-card trial periods. Trials do not convert automatically and do not charge at expiry. Personal trials return to Free limits when they end. An expired Studio trial is archived under the workspace recovery rules described in the Service. Ending a trial early does not restore trial eligibility.

4.3 Billing & Payment

• Subscription fees are billed in advance on a monthly or annual basis, as selected during purchase.
• All payments are processed by Stripe, Inc. You agree to Stripe’s terms of service as applicable.
• Prices are listed in US Dollars (USD). Applicable taxes are calculated and charged at checkout based on your billing address.
• You authorize us to charge the payment method you provide for all applicable fees until your subscription is cancelled.

4.4 Cancellation & Refunds

• You may cancel your subscription at any time through the Settings > Billing section of the Service.
• Upon cancellation, you will retain access to paid features until the end of your current billing period, unless you choose immediate cancellation.
• After the billing period ends, your account will be downgraded to the Free plan. All your scripts are preserved, but you will be subject to Free plan limits.
• Refunds are handled on a case-by-case basis. Contact support@easyprompter.com for refund inquiries.

4.5 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days’ prior notice of any price increase. Price changes will take effect at the start of your next billing period following the notice.

4.6 Referral Program

When the referral program is available, you may share a personal referral link. These terms apply to that program, and a separate program is available to approved partners under the Partner Terms.

• The reward. If a person who is new to EasyPrompter signs up through your link, subscribes to a paid plan, has been a paying customer for 30 days (the first payment must be at least half of the plan’s list price, so heavily discounted first payments do not count), and is still subscribed and not scheduled to cancel at that time, we add account credit to both of you. Each credit equals one month of the recipient’s plan price, or one twelfth of the annual price for an annual plan, excluding add-on seats. If you do not have an active paid Creator, Operator, Studio, or Enterprise subscription when the reward is due, your referral credit is not issued unless you become eligible within 90 days.
• How credit works. Credit is applied automatically to future invoices. It has no cash value, cannot be withdrawn, transferred, or refunded, and ends when your account is closed. If we cannot add your credit when the reward is due, we keep trying for up to 90 days while you remain or become eligible.
• Who qualifies. Only new accounts can be referred, and each person can be referred once. A person who joined through a Partner Program link does not qualify. Referrers must have an active paid Creator, Operator, Studio, or Enterprise subscription. You cannot refer yourself, an account you control, or an account you are associated with to obtain credit.
• Limits. Each person can earn credit for up to 12 referrals in any 12-month period.
• Refunds and abuse. A referral does not qualify if the first payment is refunded in full or disputed before the reward is due. If either account is closed before the reward is added, no credit is issued for that referral. We may withhold or reverse credit that we reasonably believe was obtained through fraud, duplicate or related accounts, spam, or other violations of these Terms.
• Changes. We may change or end the referral program at any time. Credit already added to your account remains available under these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Upload, transmit, or store content that is unlawful, defamatory, obscene, threatening, or that infringes on the intellectual property rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks.
• Introduce viruses, malware, or other harmful code into the Service.
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, redistribute, or sublicense the Service without our prior written consent.
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.

We reserve the right to investigate violations and take appropriate action, including suspending or terminating your account and reporting to law enforcement authorities.

6. Your Content

6.1 Ownership

You retain all rights, title, and interest in and to the content you create, upload, or submit through the Service (“Your Content”), including scripts, formatting, and metadata. We do not claim ownership of Your Content.

6.2 License Grant

By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, display, and transmit Your Content solely as necessary to provide and operate the Service. This license terminates when you delete Your Content or your account.

6.3 Shared Content

When you share scripts via share links, guest access, or organizational workspaces, you are authorizing recipients to view (and, where permissions allow, edit) the shared content through the Service. You are responsible for managing share permissions and revoking access as needed.

6.4 Backups & Data Loss

While we perform daily automated backups, we do not guarantee the preservation of your data. You are responsible for maintaining your own backup copies of important content.

7. Intellectual Property

The Service — including its design, code, graphics, logos, trademarks, and all other elements — is owned by Story Tailors, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

9. Third-Party Services

The Service integrates with third-party services including Stripe (payments), AWS Cognito (authentication), and others as described in our Privacy Policy. Your use of these integrations is subject to the applicable third-party terms. We are not responsible for the performance, availability, or policies of third-party services.

10. Service Availability

We strive to provide the Service with high availability. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, security patches, or circumstances beyond our control.

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. For material changes that affect your use, we will provide at least 30 days’ notice.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STORY TAILORS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Story Tailors, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your Content or any content you share through the Service.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be submitted to good faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Bergen County, New Jersey.

14.3 Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If any court or arbitrator determines that this waiver is void or unenforceable, then the entirety of this dispute resolution section shall be null and void.

14.4 Government Users

If you are a United States government entity, this Section 14 does not apply to you to the extent that applicable federal law requires different terms.

15. Government & Institutional Users

The following additional terms apply if you are a government agency, public institution, educational institution, or other regulated organization (“Institutional User”):

• Data Processing: Upon request, we will enter into a data processing agreement (DPA) or equivalent instrument as required by your jurisdiction or internal policies.
• Accessibility: We endeavor to make the Service accessible in accordance with applicable accessibility standards.
• Audit Rights: We will cooperate with reasonable audit requests related to data protection and security, subject to confidentiality protections.
• FERPA Compliance: For educational institutions subject to FERPA, we act as a “school official” with a “legitimate educational interest” and will not use student data for purposes other than providing the Service.
• Procurement: Enterprise plans support annual invoicing, purchase orders, and procurement workflows. Contact sales@easyprompter.com for details.
• Sovereign Immunity: Nothing in these Terms shall be construed to waive or limit any sovereign immunity protections available to government users.

16. Termination

You may terminate your account at any time by deleting it through the Settings > Privacy & Data section, or by contacting us at support@easyprompter.com.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or our Acceptable Use Policy.
• Non-payment of fees.
• Extended periods of inactivity.
• Request by law enforcement or government authorities.
• Discontinuation of the Service.

Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination will survive, including but not limited to Sections 6 (Your Content), 7 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law).

17. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. For significant changes, we will also provide notice through the Service or via email at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must discontinue use of the Service.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
• Notices: We may provide notices to you through the Service, via email to the address associated with your account, or by posting on this page. You may provide notices to us at legal@easyprompter.com.
